Policies Against Corruption, Anti-boycotting, and Sanctions

  1. Anti Corruption Clause

In conjunction with this Contract, each partner is entitled and promises to the other that it will abide by all legal requirements, rules, regulations, decrees, resolutions, declarations, and/or other obligations, pertaining to anti-bribery and anti-money laundering of the laws of the United States, the European Union (or its respective Member States), the United Nations, Switzerland, or the place of origin of the products (“Applicable Legislation”). Specifically, each party guarantees, promises, and agrees to the other that it will not, directly or indirectly:

  1. Pay, offer, provide, pledge to pay, or approve the transfer of any money or other valuables to someone, or otherwise provide them with a financial benefit.
    1. a representative of the government, a branch, agency, or other apparatus of the government, or an employee or officer thereof;
    2. a public international organisation executive or worker;
    3. any individual functioning on behalf of or on account of any public intergovernmental organisations, division, department, or instrumentality of such an institution;
    4. any contender for political office, including any party officials;
    5. any additional person, person, or organisation acting on the recommendation, request, or instruction of, or for the convenience of, any of the foregoing individuals and organisations; obligations.
  1. Partake in other actions or exchanges:

if any of these acts are illegal or in conflict with the relevant legislation, which includes the Foreign Corrupt Practices Act of the United States and any national laws that implement (wholly or partially) the OECD convention against the bribery of foreign government officials in international financial transactions.

Clauses Relating to Boycotts and Sanctions

Each side guarantees that, to the best of its knowledge, neither it nor any individual or business that it controls, runs, or is owned by it is a targeted subject of any commercial, economic, financial, or other penalty or sanctions (collectively “Sanctions”) imposed by the U.S., E.U. (or its respective Member States), U.N., Switzerland, or the nation of origin of the goods. Sanctions include without restriction any applicable law, rules, order, ordinance, resolution, decree, stringent measure, or other requirements that are legally binding. In order to carry out this Contract, each person accepts and promises to another that it, its employees, suppliers, and agents will fully abide by all relevant sanctions.

Supplier acknowledges and promises to Buyer that the commodities will not, directly or indirectly, come from, be supplied by, or be translocated by a vessel or carriage that is possessed, identified, authorised, controlled, or monitored, either directly or indirectly, by any nation, individual, institution, or body, or for any economic business that would put Buyer or an individual under the jurisdiction of the United States in infringement of any relevant Sanctions and/or export or re-export limits. The seller must give the buyer the necessary paperwork if the purchaser requests it in order to prove the items’ origin. Buyer is free to refuse any prohibited originating nation, vessel, rail line, individual, or organisation that would make the execution of this Contract incompatible with any relevant Sanctions.

Buyer is entitled to refuse any constrained originating nation, vessel, transport hub, individual, or institution that would make it unlawful for Buyer, its brokers, vendors, representatives, or an individual subject to U.S. jurisdiction to undertake this Service agreement or that could subject them to any relevant Sanctions’ penalties.

Buyer promises to the merchant that the items won’t be:

  • resold to,
  • discarded by, or
  • conveyed on a vessel or by a transporter that is directly or indirectly controlled, registered, contracted, administered, or controlled by, to:

any nation, individual, or organisation; or for any commercial action that would put the seller or an individual under U.S. jurisdiction in violation of any exportation or re-export restrictions that may be in place. Buyer must supply the vendor with the necessary documents if the vendor requests it in order to confirm the items’ final destination. Any constricted location, vessel, transit line, person, or institution that would make it unlawful for Vendor, its agents, contractors, delegates, or an individual subject to U.S. jurisdiction to conduct this Contract is susceptible to rejection by Seller. This includes any constrained destinations, vessels, transit routes, people, or entities.

Further, Buyer symbolises and necessitates that it will not purchase the goods through or via any nation, financial institution, or other organisation or institution that would, directly or indirectly, put Seller or a person under U.S. jurisdiction in contravention of or subject them to punishment under any applicable Sanctions.

Client shall utilise best efforts to use innovative lawful methods of payment that do not specifically or indirectly, infringe any sanctions (insofar as they pertain or are implemented or incorporated by financial institutions, government agencies, or other legitimate jurisdiction whatsoever), should compensate for the products be hindered, obstructed, postponed, or avoided for longer than three business days due to penalties or their alleged applicability. Unless such payment issues are a recurrent issue, the Buyer shall use alternative lawful payment methods.

The partners will not cooperate with, participate with, or consent to any conditions or demands, including those for documentation, that conflict with or otherwise contravene U.S. anti-boycott rules and regulations.

The sides enter into agreements with each other’s legitimate requests for information and/or physical proof to establish and/or demonstrate compliance with this article, without prejudicing the aforementioned.
